Pennsylvania’s Annual Report requirement was established by Act 122 of 2022. It ensures businesses have up-to-date registration information with the state, replacing the decennial report requirement and preventing administrative dissolution for non-compliance. Pennsylvania’s Annual Report started in 2025 and requires most businesses to file yearly. Failure to file may lead to dissolution, termination, or name loss starting in 2027.

Do I need to report expenses?
Businesses do not need to report income or expenses, regardless of whether your business made money or not. They only confirm the business name, address, officers, and PA entity number. In other words, the Annual Report is not a financial report—it is strictly for updating registration details such as:
- Business name
- Address
- Officers
- PA entity number
