How to File Annual Reports for Businesses in PA

Pennsylvania’s Annual Report requirement was established by Act 122 of 2022. It ensures businesses have up-to-date registration information with the state, replacing the decennial report requirement and preventing administrative dissolution for non-compliance. Pennsylvania’s Annual Report started in 2025 and requires most businesses to file yearly. Failure to file may lead to dissolution, termination, or name loss starting in 2027.

Filing deadlines

  • Corporations (business & nonprofit): 1 Jan – 30 Jun  
  • Limited Liability Companies (LLCs): 1 Jan – 30 Sep
  • Limited Partnership (LPs), LLPs, business trusts, professional associations: 1 Jan – 31 Dec

Fees

As of February 2025, maintaining a PA LLC costs around $7 for business entities and free for nonprofits and not-for-profit LPs/LLCs.

Do I need to report expenses? 

Businesses ​​do not need to report income or expenses, regardless of whether your business made money or not. They only confirm the business name, address, officers, and PA entity number. In other words, the Annual Report is not a financial report—it is strictly for updating registration details such as:  

  • Business name  
  • Address  
  • Officers  
  • PA entity number

How to file an Annual Report in PA online—beginning 6 Jan 2025

For each business, you’ll need to follow the steps below (Source). 

  1. Register a Business Filing Services (BFS) account if you are a new user (Customer Portal Overview).
  2. Log in at file.dos.pa.gov and search for your company name under “Business Search.”
  3. Click on the icon for Annual Report. No PIN access is required to file an Annual Report.
  4. Complete the Annual Report form online and pay by credit card. 
  5. After the Annual Report is processed, the Form and Acknowledgement Letter will be available for immediate download. You also will receive an email with instructions on how to log into the BFS portal to retrieve your filed document under “My Work Queue.”
